General Terms and Conditions

These General Terms and Conditions (“Terms”) govern your participation in and use of any classes, workshops, open studio time, events, or services offered by Shapeshifter Art School (“we,” “us,” or “our”). By enrolling in our programs or engaging with us through our website or in-person offerings, you agree to be bound by these Terms.

1. Participation and Conduct

We are committed to fostering a respectful, safe, and inclusive learning environment. By participating in any Shapeshifter Art School program or activity, you agree to treat instructors, staff, and fellow participants with courtesy and professionalism. We reserve the right to dismiss any participant whose behavior disrupts the learning environment or violates these Terms, without a refund.

2. Intellectual Property

All course materials, including but not limited to curricula, lesson plans, video content, and handouts, are the intellectual property of Shapeshifter Art School and may not be reproduced, distributed, or used for commercial purposes without our express written permission. Students retain ownership of artwork they create but may grant us permission to display or share it for promotional purposes (see Privacy Policy).

3. Assumption of Risk

Art classes often involve the use of tools, materials, and techniques that may pose risk of injury. By enrolling in our programs, you assume all risks associated with participation and agree to follow all safety instructions provided by instructors or posted within the facility.

4. Limitation of Liability

To the maximum extent permitted by applicable law, Shapeshifter Art School shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your participation in our programs or use of our facilities or website.

Our total liability for any claims under these Terms is limited to the total amount you paid to Shapeshifter Art School for the relevant class or service that gave rise to the claim.

5. Mediation and Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to your participation in our programs or these Terms, both parties agree to attempt resolution through good-faith mediation before initiating formal legal proceedings. Mediation shall occur in Memphis, Tennessee, unless otherwise agreed upon in writing. Each party shall bear its own costs of mediation.

If the dispute is not resolved through mediation, the parties may pursue resolution through the courts located in Shelby County, Tennessee. These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law principles.

6. Force Majeure

We are not responsible for delays, interruptions, or failures in performance resulting from causes beyond our reasonable control, including acts of God, weather-related closures, pandemics, strikes, or power outages.

7. Changes to Terms

We reserve the right to update or revise these Terms at any time. Changes will be posted on our website, and continued participation in our programs after such changes constitutes your acceptance of the revised Terms.

8. Governing Law

These Terms and any disputes or claims arising out of or in connection with them, including non-contractual disputes or claims, shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Shelby County, Tennessee.
